Welcome to Signally Radio (“Signally,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of the Signally web application and related services (the “Service”) available at https://signallyradio.com. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Acceptance

By creating an account, logging in, or otherwise using the Service, you represent that you are at least the age of majority in your jurisdiction and that you have read, understood, and agree to be bound by these Terms.

We may modify these Terms from time to time. When we do, we will update the “Last updated” date above. If changes are material, we may also provide a notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect and process information, including signup and login IP addresses used for security and abuse prevention.

The Service integrates or surfaces third-party content and services (e.g., Radio Browser directory/metadata, iTunes Search artwork, music-news RSS feeds, SendGrid email delivery, Google AdSense advertising, and hosting by Render). We do not control and are not responsible for third-party sites, content, streams, or policies. Your use of third-party services is subject to their terms and privacy policies.

We may add, change, suspend, or discontinue the Service (in whole or part) at any time, including for maintenance or security. We are not liable for any modification, suspension, or discontinuation.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that content will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIGNALLY RADIO OR ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) US $100 OR (B) THE AMOUNT YOU PAID US (IF ANY) IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Signally Radio and our affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without notice, including for suspected violations of these Terms or abuse of the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (e.g., Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Cook County, Illinois, for any dispute arising out of or relating to the Service or these Terms.

13. Severability; Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
